What is AI contract review?

AI contract review is software that reads an incoming contract, compares each clause with a company's negotiation playbook and flags deviations. It outputs a risk-scored clause list, suggested redlines in tracked changes, and extracted obligations such as renewal dates, liability caps and data-processing duties. A lawyer or contract manager reviews and approves the output before anything goes back to the counterparty.

Can AI contract review use our own playbook instead of a generic one?

Yes. We encode your preferred positions, acceptable fallbacks, walk-away points and approval thresholds as structured rules. Each flag the system raises cites the clause text and the specific rule it breaks, so reviewers can see why. When your legal team changes a position, the playbook is updated and versioned, and the change is re-tested on past contracts before it goes live.

Is it safe to put confidential or privileged contracts into AI?

It can be, if the architecture is right. We deploy in your own AWS, Azure or Google Cloud tenant, use model endpoints with zero data retention and no training on your data, and keep access tied to your identity provider. Documents never go into a shared vendor database. Your information security and privilege policies are reviewed during the first week of the pilot.

Does AI contract review replace lawyers?

No. It removes the slowest part of review, reading every page to find deviations, so lawyers spend time on the clauses that matter. The system drafts redlines and extracts obligations, but a named lawyer or contract manager approves every change before it reaches the counterparty. Strategic, novel or high-value deals stay fully with your legal team.

How does it handle DPAs and data-transfer terms for the UK, EU and UAE?

It checks DPAs against your privacy playbook: processor role, sub-processor notice, breach notification windows, audit rights and transfer mechanisms such as SCCs or the UK IDTA. Region-specific positions, including UAE PDPL and DIFC or ADGM data protection terms where relevant, are configured with your privacy counsel. The output flags gaps for review; it does not certify compliance.
